Welcome to the KnowMeNow Web Sites ("the Service"), provided by Identity Holdings, Inc. ("IHI"). These Terms and Conditions of Use ("Terms and Conditions") constitute a valid and binding agreement between IHI and you.

In order to be authorized to use the Service, you must enter into these Terms and Conditions by checking the box marked ["I agree to and accept the KnowMeNow Code of Conduct and the KnowMeNow Terms and Conditions of Use"] during your KnowMeNow registration. You should review these Terms and Conditions, which are available above the acceptance box at registration and also at KnowMeNow Terms and Conditions of Use. In addition, you should review the KnowMeNow Code of Conduct, which is available above the acceptance box at registration and also at KnowMeNow Code of Conduct. You acknowledge and agree that by checking the "I agree" box at registration, you are entering into legally binding contracts with IHI. If you do not agree to these Terms and Conditions, and to the KnowMeNow Code of Conduct, you may not use the Service.

IHI reserves the right to revise this Code of Conduct at any time by posting such revisions on the Service. In the event of a material change, IHI will notify you by posting an announcement on the home page for the Service. Your continued use of the Service after such revisions have been posted constitutes your acknowledgement of, and agreement to be bound by, any such revisions when they become effective.

IHI has the right to control or monitor your use of the Service, which includes the right to control the content you or your fellow members submit to the service. Please report any complaints or concerns about content submitted by you or a fellow KnowMeNow member to the Service to the following email address: info@IdentityHoldings.com. Your use of the Service is subject to additional rules, terms, and conditions as provided by IHI from time to time in its KnowMeNow Code of Conduct. By using the Service, you agree to comply with the additional rules, terms, and conditions established by IHI.
  1. IHI Proprietary Rights. IHI, its licensors, and/or its service/content providers own all rights, title, and interest to all content and components of the Service that are not supplied by you or others using the Service, including without limitation (i) all materials and documentation pertaining to the Service; (ii) all software, text, data, graphics, graphs, charts, photographs, videos, typefaces, music, sounds, HTML code, and interfaces contained on or incorporated into the Service; and (iii) the design, selection, and arrangement of all components of the Service. Any necessary software used in connection with the Service ("Software"), and any materials, documents or other content provided by IHI that are related to the Service or the Software, contain information of IHI, its licensors and/or its service/content providers that is protected by applicable intellectual property and other laws. All software, content, and the compilation of the components of the Service are protected by all applicable U.S. and international copyright laws. The Service and the content that IHI makes available on or uses to provide the Service may only be used as permitted by IHI and any other intellectual property owners; all other uses, including reproduction, modification, distribution, transmission, republication, display, or performance of such content are strictly prohibited.
  2. Limited License Grant to IHI-Supplied Content. Unless otherwise specified, IHI grants you a personal, revocable, non-exclusive, non-transferable, limited right to use the Service and IHI-supplied content (including all of the components discussed above in Section 1) consistent with these Terms and Conditions and the KnowMeNow Code of Conduct for your personal, non-commercial use. Specifically, you are granted permission to view or download a single copy of the IHI-supplied content made available on or used to provide the Service solely in the manner and for the purposes described above. When such content is downloaded to your computer, you do not obtain any ownership interest in such content or in any modifications of such content. Ownership of all such content shall at all times remain with IHI, its licensors, and/or its service/content providers. IHI reserves all rights not expressly granted to you in these Terms and Conditions.
  3. Uses of IHI-Supplied Content. You agree to use the Service and all IHI-supplied content only for lawful, personal, non-commercial purposes in the manner and for the purposes described in Section 2. IHI specifically prohibits any use of the Service or IHI-supplied content for the following purposes, and you agree not to use the Service for any of the following purposes:
    • Except as expressly permitted in Section 2, you will not use, copy, modify, publish, transmit, distribute, display, perform, participate in the transfer or sale of, create derivative works based on, or in any way exploit, any of the IHI-supplied content made available on or used to provide the Service, in whole or in part, without its prior written consent;
    • You will not sublease, lease, sell, assign, transfer, distribute, rent, permit concurrent use of, or grant other rights in Service, or in any of the IHI-supplied content made available on or used to provide the Service to any third party;
    • You will not use the Service, or any of the IHI-supplied content made available on or used to provide the Service in a computer service business, network, time sharing, interactive cable television, multiple CPU or multiple or concurrent user arrangement to users who are not individually licensed by IHI or otherwise exploit for any commercial purposes any portion of, the use of, or access to the Service or the IHI-supplied content made available on or used to provide the Service; and
    • You will not translate, reverse engineer, decompile, or disassemble the Software or any of the content made available on or used to provide the Service, nor will you otherwise attempt to discover any source code therefrom.
  4. Trademarks All trademarks, service marks, and trade names that appear on the Service are the respective property of IHI, our licensors, our service/content provider and other third parties, as applicable. Without the express written approval of IHI or applicable third party, you may not use such trademarks or service marks for any purpose. All other trademarks, service marks, and trade names that appear on the Service are the property of their respective owners, and you may not use them without the permission of those owners.
  5. Modifications. IHI reserves the right at any time and from time to time, in its sole discretion, to modify or discontinue, temporarily or permanently, the Service (or any part thereof, including the transmission of any related content, materials, or documentation) with or without notice. IHI further reserves the right at any time and from time to time, in its sole discretion, to change or terminate any or all content or features made available on or used to provide the Service with or without notice. You agree that IHI shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service or of the content or features made available on or used to provide the Service.
  6. Personal Data. IHI’s collection, use, and sharing of your personally identifiable information are governed by the terms of the KnowMeNow Privacy Policy (which is incorporated into these Terms and Conditions of Use by reference).
  7. Registration, User Name, Password, and Security. You are solely responsible for every use of your account, whether authorized or not, and IHI shall not be liable for any loss or damage arising from your failure to comply with this Section 8.
  8. Third-Party Content. IHI has the right, but not the obligation, to monitor the content (other than IHI supplied content) that appears on the Service. IHI is not responsible or liable for the conduct of users or for views, opinions, or statements expressed in content submitted by your or any third party. By using the Service, you acknowledge that you may be exposed to content that is inaccurate, unsubstantiated, indecent, objectionable, offensive, false, defamatory, or otherwise inappropriate. You shall be solely liable for any damages resulting from any infringement of copyrights, trademarks, trade secrets, or other intellectual property rights, or any other harm resulting from its uploading, posting, or submission of content to the Service or your transmission of content to other users. IHI does not claim ownership of content submitted by users without compensation by IHI and with the expectation that such content will be made publicly accessible through the Service. By submitting content, you agree to grant IHI a world-wide, royalty-free, perpetual, irrevocable, fully-paid, sub licensable, non-exclusive license to use, distribute, reproduce, modify, adapt, create derivative works from, and publicly perform or display such content, when in connection with IHI’s provision of the Service. This license shall remain in effect until IHI deletes the content from its systems.
  9. External Sites. The Service may include links to other web sites that are owned or operated by third parties ("External Sites"). IHI does not have any control over or responsibility for the content, terms of use, quality, completeness, accuracy, nature, practices, or policies of the External Sites, and does not endorse the External Sites or the companies or individuals who own and operate them, and is not responsible or liable for any content, advertising, products, services, or other materials on or available from the External Sites. You acknowledge and agree that your access to and use of the External Sites, and any content, advertising, products, services, or other materials on or available from the External Sites is entirely at your own risk and IHI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, advertising, products, services, or other materials available on or through any External Site. You acknowledge that your interactions with External Sites and the third parties who own and operate them are solely between you and those third parties, and you recognize that IHI will not become involved in any disputes between you and those third parties.
  10. Security Rules. You agree that you will not violate or attempt to violate the security of the Service or any of the content made available on or used to provide the Service. Without limiting the foregoing, you agree that: (a) you will not, and will not attempt to, access data not intended for your use or log into a server or account connected to the Service that you are not authorized to access; (b) you will not, and will not attempt to, probe, scan, or test the vulnerability of any system or network connected to the Service or to breach the Service’s security or authentication measures without proper authorization; and (c) you will not, and will not attempt to, impair the Service or any system or network connected to the Service or interfere with the use of the Service by any other user, including, without limitation, by means of overloading, "flooding," "mailbombing," or "crashing." Violations of system or network security may result in civil or criminal liability. IHI will vigorously pursue all potential violations of these security rules, and will cooperate with law enforcement in prosecuting users who engage in illegal activity.
  11. Suspension; Termination. IHI has the right, with or without notice, to suspend or terminate your registration (i.e., your user name, password, and access to and use of the Service, or any of the content made available on or used to provide the Service, or any part thereof), for any reason or for no reason. The following provisions shall survive termination: All provisions relating to disclaimer of warranties, limitation of liability, and remedies and damages contained in these Terms and Conditions, as well as Sections 1 (IHI Proprietary Rights), 4 (Trademarks), this Section 11 (Suspension; Termination); 12 (Disclaimer), 13 (Limitation of Liability), 14 (Exclusions), 17 (Governing Law; Arbitration), 18 (Severability), and 19 (General).
  12. Disclaimer. THE WEB SITES, THE SERVICE, AND ALL OTHER CONTENT, DATA, AND INFORMATION (INCLUDING THAT SUPPLIED BY USERS) MADE AVAILABLE ON OR USED TO PROVIDE THE SERVICE (COLLECTIVELY, THE "IHI CONTENT") ARE PROVIDED BY IHI "AS IS." ALL EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTIES OF ANY KIND WITH RESPECT TO THE WEB SITES, THE SERVICE, AND IHI CONTENT (WHETHER OR NOT ALLEGED TO ARISE BY LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, OR BY COURSE OF DEALING) ARE HEREBY DISCLAIMED, INCLUDING, BUT NOT LIMITED TO: (A) THE ACCURACY OF THE RESULTS FROM ANY USE OF THE WEB SITES, THE SERVICE, OR IHI CONTENT OR INFORMATION DERIVED FROM THE WEB SITES, THE SERVICE, OR IHI CONTENT; (B) THE MERCHANTABILITY OF THE WEB SITES, THE SERVICE, AND IHI CONTENT AND/OR ITS SUITABILITY FOR A PARTICULAR PURPOSE, WHETHER OR NOT IHI KNOWS OR HAS REASON TO KNOW OR HAS BEEN ADVISED OF ANY SUCH PURPOSE; AND (C) NON-INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS IN AND TO THE WEB SITES, THE SERVICE, THE IHI CONTENT, AND THE TRADEMARKS CONTAINED ON THE SERVICE.

    IHI DOES NOT GUARANTEE THE SECURITY, SEQUENCE, TIMELINESS, ACCURACY, INTEGRITY, OR COMPLETENESS OF THE WEB SITES, THE SERVICE, OR IHI CONTENT. IHI IS NOT RESPONSIBLE FOR YOUR, OR OTHER USERS’, INTENDED OR ACTUAL USE OF THE WEB SITES, THE SERVICE, THE SERVICE’S RESULTS, OR IHI CONTENT.

    IHI ALSO DISCLAIMS ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES (i) THAT THE WEB SITES, THE SERVICE, OR IHI CONTENT ARE FREE FROM INTERRUPTION, ERROR-FREE, AND/OR FREE FROM ANY COMPUTER BUGS, VIRUSES, OR DISABLING CODES; (ii) THAT DEFECTS IN THE WEB SITES, THE SERVICE, OR IHI CONTENT WILL BE CORRECTED; OR (iii) THAT THE WEB SITES, THE SERVICE, OR IHI CONTENT WORK WITH ANY HARDWARE OR SOFTWARE CONFIGURATION.

    TO THE EXTENT THAT ANY WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, SUCH WARRANTIES SHALL BE LIMITED IN DURATION TO THIRTY (30) DAYS FROM THE DELIVERY DATE OF THE RELEVANT SERVICE OR IHI CONTENT.
  13. Limitation of Liability. IN NO EVENT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE ON THE PART OF IHI OR ITS AGENTS, REPRESENTATIVES, AND EMPLOYEES) SHALL IHI HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (WHETHER IN CONTRACT, TORT, OR OTHERWISE AND WHETHER OR NOT IHI KNOWS OR HAS REASON TO KNOW OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) INCURRED IN CONNECTION WITH THE WEB SITES, THE SERVICE, OR IHI CONTENT, INCLUDING BUT NOT LIMITED TO SUCH DAMAGES RESULTING FROM: LOST REVENUES OR PROFITS; LOST OR DAMAGED DATA; DAMAGE TO OR INTERRUPTION OF ANY LOCAL AREA NETWORKS; INTRODUCTION OF VIRUSES, WORMS, OR OTHER DESTRUCTIVE PROGRAMS; ANY COMMERCIAL OR ECONOMIC LOSSES, INCLUDING LOSS OF EMPLOYMENT; REPUTATIONAL HARM; ANY DECISION MADE OR ACTION TAKEN BY ANY PARTY IN RELIANCE UPON THE WEB SITES, THE SERVICE (OR RESULTS OF THE SERVICE), OR THE IHI CONTENT; ANY DELAY, FAILURE, INTERRUPTION, OR CORRUPTION OF ANY DATA OR OTHER INFORMATION TRANSMITTED IN CONNECTION WITH THE USE OF THE WEB SITES OR THE SERVICE; ANY INABILITY TO USE THE WEB SITES, THE SERVICE, OR IHI CONTENT; OR ANY INACCURACIES, ERRORS, OR OMISSIONS IN CONNECTION WITH THE WEB SITES, THE SERVICE, OR ANY IHI CONTENT. IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF IHI AND ITS AGENTS, REPRESENTATIVES, AND EMPLOYEES ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS OR YOUR USE OF THE WEB SITES, THE SERVICE, AND IHI CONTENT, WHETHER IN TORT, CONTRACT, OR OTHERWISE, EXCEED ONE HUNDRED DOLLARS ($100).
  14. Exclusions. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. In such event, IHI’s liability shall be limited to the extent permitted by applicable law.
  15. Digital Millennium Copyright Act ("DMCA"). IHI has designated an agent to receive notification of alleged copyright infringement occurring on its web pages or computer servers. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide IHI’s agent (listed below) the following information, in writing: (a) Identify the copyrighted work that you allege to have been infringed; (b) Describe the material that is claimed to be infringing and provide sufficient information to permit IHI to locate that material; (c) Provide your contact information, including an address, telephone number, and, if available, an e-mail address; (d) Certify or include a statement that you have a good faith belief that the use of the copyright-protected material in the manner complained of is not authorized by the copyright owner, the owner’s agent, or law; (e) Certify that the information that you have provided IHI is accurate; (f) Attest under penalty of perjury that you are authorized to enforce the copyrights that you allege have been infringed; and (g) Include your physical or electronic signature.   16. Foreign Jurisdictions. The Service and content made available on or used to provide the Service are designed for use in the United States. IHI makes no representation that the Service or any of the content made available on or used to provide the Service are appropriate or may be downloaded outside of the United States. Access to the Service, or any of the content made available on or used to provide the Service, may not be legal in certain countries and by certain people in those countries. If you access the Service, or any of the content made available on or used to provide the Service, from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.
  17. Governing Law; Arbitration. The laws of the State of Maryland shall govern these Terms and Conditions, without regard for such state’s principles regarding conflicts of laws, and excluding that body of law applicable to choice of law. Any dispute or controversy arising hereunder shall be settled exclusively by arbitration to be held in the State of Maryland before a single arbitrator in accordance with the rules of the American Arbitration Association then in effect. Judgment may be entered on the arbitrator’s award in any court having jurisdiction, and you hereby irrevocably consent to the personal jurisdiction of the courts located in the State of Maryland for that purpose. The arbitrator may grant injunctive or other relief. The decision of the arbitrator shall be final and binding on the parties.
  18. Severability. The invalidity or unenforceability of any particular provision of these Terms and Conditions shall not affect any other provision hereof and these Terms and Conditions shall be construed in all respects as if such invalid or unenforceable provision were omitted.
  19. General. These Terms and Conditions, together with the KnowMeNow Code of Conduct and the KnowMeNow Privacy Policy, constitute the entire agreement between you and IHI and govern your use of the Service, or any of the content made available on or used to provide the Service, superseding any prior agreements between you and IHI, whether oral or in writing, with respect to the subject matter hereof.
